Membership & Subscription Terms

These Membership & Subscription Terms (“Membership Terms”) govern your purchase and use of subscriptions, single issues, and membership access offered by Metrix Magazine (“Metrix Magazine,” “we,” “us,” or “our”).

These Membership Terms supplement and form part of our Terms & Conditions. In the event of any inconsistency between these Membership Terms and the Terms & Conditions, the Terms & Conditions will control. By purchasing or accessing any subscription, single issue, or membership feature, you agree to both the Terms & Conditions and these Membership Terms.


1. Definitions

For purposes of these Membership Terms:

  1. “Services” means the website at metrixmagazine.com and all related digital products, memberships, and features provided by Metrix Magazine.
  2. “Yearly Subscription” means a time-limited subscription product that grants access to Members-only content and features for a fixed one-year term.
  3. “Single-Issue Purchase” means a one-time purchase of access to a specific magazine issue, generally via online flipbook, without full membership benefits.
  4. “Members Vault” means the restricted-access area or collection of digital content available only to eligible Yearly Subscribers or other designated members.
  5. “Digital Content” means magazine issues, PDFs, toolkits, templates, guides, applications, reports, and other downloadable or view-only materials provided by Metrix Magazine.
  6. “User,” “you,” or “your” means the individual who purchases or accesses a Yearly Subscription, Single-Issue Purchase, or other membership product.

2. Relationship to Terms & Conditions

  1. These Membership Terms are in addition to, and not in place of, our Terms & Conditions. All definitions, disclaimers, IP provisions, acceptable use rules, and liability limitations in the Terms & Conditions apply fully to memberships and subscriptions.
  2. If there is any conflict between these Membership Terms and the Terms & Conditions, the Terms & Conditions will control.

3. Membership Types

3.1 Yearly Subscription

A Yearly Subscription provides, during its active term, access to:

  1. Members Vault content and other subscriber-only materials, as determined by Metrix Magazine;
  2. Downloadable magazine issues and other permitted Digital Content (subject to license restrictions); and
  3. Flipbook access to current and eligible past issues.

3.2 Single-Issue Purchases

Single-Issue Purchases provide access to the specific purchased issue via online flipbook only. They do not include Members Vault access, toolkits, subscriber-only applications, or other subscription-level benefits unless explicitly stated.

3.3 Other Membership or Access Tiers

From time to time, Metrix Magazine may introduce additional tiers, special passes, or enterprise offerings. Unless specified in a separate agreement, such offerings are subject to these Membership Terms and the Terms & Conditions.

4. Access Rights and Duration

4.1 Yearly Subscription Access Period

The Yearly Subscription term runs for one year from the date of purchase, unless otherwise stated. During that period, subscribers are granted access to the Members Vault and any subscription-only content available under their plan.

4.2 Retention of Downloads

Yearly subscribers may download permitted Digital Content during their active subscription term. Subject to license restrictions and compliance with these Membership Terms, downloaded materials may continue to be used after the subscription ends for personal and internal business use only.

4.3 Access after Cancellation or Expiry

  1. If a Yearly Subscription is cancelled by the User after the applicable refund window has passed (see the Refund Policy), the subscription will remain active until the end of its paid term, unless access is revoked due to breach of these Membership Terms or the Terms & Conditions.
  2. At or after the end of the subscription term, Metrix Magazine may lock or restrict access to the Members Vault and subscriber-only resources. Locking an account does not affect the license for lawfully downloaded materials, provided the User remains in compliance with these Membership Terms and the Terms & Conditions.
  3. Metrix Magazine may retain account-level personal data associated with a subscription for up to sixty (60) days following cancellation or expiration, and may retain limited transactional or security-related records for longer as permitted by law, as described in the Privacy Policy.

4.4 Single-Issue Access Duration

Single-Issue Purchases provide ongoing flipbook access to the purchased issue while the User’s account remains active and in good standing. Metrix Magazine reserves the right to retire, migrate, or update technical platforms, provided reasonable equivalent access or replacement is maintained where practical.

5. License Scope and Limitations

5.1 License for Yearly Subscribers

Subject to compliance with these Membership Terms and the Terms & Conditions, Yearly Subscribers are granted a limited, revocable, non-transferable, non-sublicensable license to:

  1. Download and store permitted Digital Content during the active subscription term;
  2. Use downloaded content for personal use and internal business use within their own organization; and
  3. Continue to use lawfully downloaded content after the subscription ends, strictly within the same license scope.

5.2 License for Single-Issue Purchasers

Single-Issue Purchasers are granted a limited, revocable, non-transferable, non-sublicensable license to view the purchased issue via the flipbook interface. No download rights are granted.

5.3 Prohibited Uses (All Members)

Unless expressly authorized in a separate written agreement, Users may not:

  • Redistribute, resell, or sub-license any Digital Content;
  • Upload Metrix Magazine content to public websites or file-sharing services except where specifically permitted;
  • Recreate, copy, or commercially exploit magazine layouts, templates, or design structures;
  • Use any Digital Content as part of a competing product, course, publication, or consulting deliverable;
  • Use Metrix Magazine content to train or supply any AI or automated dataset system;
  • Extract content from flipbooks via screenshots, screen recordings, automated tools, or other capture mechanisms; or
  • Share, lease, rent, or otherwise provide login credentials to any third party.

5.4 Flipbook Restrictions for Single-Issue Purchasers

Single-Issue Purchasers may not download, copy, capture, or externally distribute flipbook content.

5.5 Flipbook Restrictions for Yearly Subscribers

Yearly Subscribers who have flipbook access must not copy, screenshot, record, extract, or otherwise capture protected flipbook content. Only downloads expressly enabled by Metrix Magazine (for example, PDF downloads in the Members Vault) are permitted.

6. Account Use and Sharing

6.1 Individual Account Use

Memberships are intended for use by a single individual unless covered by a separate written agreement (e.g., enterprise or team license). Do not share your username or password.

6.2 Organizational Internal Use

Where Digital Content is licensed for internal business use, it may be shared within the User’s own company or internal team for planning, learning, or reference only. This does not permit redistribution to clients, publishing as part of a product, or commercial sale.

6.3 Unauthorized Sharing or Abuse

If Metrix Magazine reasonably believes an account is being shared or abused (e.g., systematic downloads for redistribution), we may suspend or terminate access without refund in accordance with the Terms & Conditions.

7. Cancellations and Changes to Membership

7.1 User-Initiated Cancellations

Users may request cancellation of a Yearly Subscription at any time by contacting support as described on the website. Cancellation requests are processed in accordance with the Refund Policy and these Membership Terms.

7.2 Effect of Cancellation

  1. If a Yearly Subscription is cancelled within the applicable refund window and qualifies for a refund, access may be revoked upon refund approval.
  2. If cancelled after the refund window, the User will typically retain access until the end of the paid term, unless Metrix Magazine terminates access for violations.
  3. Cancelled or expired accounts may be locked or removed after the applicable retention period, per the Privacy Policy.

7.3 Modifications to Membership Offerings

Metrix Magazine may modify, expand, or discontinue membership features, content types, or tiers. Reasonable efforts will be made to honor core benefits advertised at the time of purchase for the active subscription term.

8. Refunds

Refunds for Yearly Subscriptions and Single-Issue Purchases are governed by Metrix Magazine’s Refund Policy, which is incorporated into these Membership Terms by reference.

Nothing in these Membership Terms creates any additional refund rights beyond those described in the Refund Policy. Eligibility may depend on whether premium content was accessed or downloaded; we may rely on access logs and system records when determining eligibility.

9. Promo Codes and Special Offers

9.1 General Use

Promotional codes, discounts, or special offers may be issued from time to time and are subject to any stated terms at issuance and these Membership Terms.

9.2 Limitations

Unless stated otherwise, promo codes are typically limited to one per User/account, may not be combined with other promotions, may be restricted to specific products or time periods, and may be limited in quantity or deactivated at our discretion.

9.3 Non-Disclosure of Internal Limits

Metrix Magazine is not obligated to disclose internal limits such as total uses for a promo code or exact eligibility criteria for offers.

10. Misuse, Suspension, and Termination

10.1 Misuse of Membership

Misuse, including unauthorized redistribution, account sharing, flipbook extraction, or license violations, may result in suspension or termination without refund.

10.2 Suspension and Termination

We may suspend or terminate your membership if you materially breach these terms or the Terms & Conditions, there is reasonable suspicion of fraud or abuse, or where required by law or an authorized authority.

10.3 Effect of Termination

Upon termination, your access to membership content and restricted Services will cease, subject to any continuing license rights for lawfully downloaded materials and IP provisions in the Terms & Conditions.

11. Governing Law

These Membership Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules, and are subject to the dispute resolution and jurisdiction clauses set forth in the Terms & Conditions.
