These Terms & Conditions (“Terms”) are a legally binding agreement between you (“User,” “you,” or “your”) and Metrix Magazine (“Metrix Magazine,” “we,” “us,” or “our”). These Terms govern your use of metrixmagazine.com and any related websites, digital products, subscriptions, downloadable materials, flipbooks, applications, and services offered by Metrix Magazine (collectively, the “Services”).
By accessing or using any part of the Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services immediately.
1. Eligibility and Accounts
1.1 Eligibility Requirements
You must be at least 18 years old to create an account or purchase any product or subscription from Metrix Magazine.
1.2 Account Creation
Users may create an account to access certain features, including purchase history, single-issue access, subscription access, or Members Vault materials. You agree to provide accurate information during registration and to maintain the security of your login information.
1.3 Account Security
You are responsible for safeguarding your username and password. Accounts may not be shared, transferred, or used by multiple individuals. Unauthorized account sharing or distribution of login credentials is strictly prohibited and may result in termination of access without refund.
1.4 Account Locking and Retention
If your subscription is cancelled or expires, your account may be locked to prevent further access to member-only materials. Metrix Magazine retains account-level personal data for up to sixty (60) days after cancellation, except where we are required or permitted to retain information longer for legal, accounting, or security purposes.
2. Digital Products and Access Rights
2.1 Types of Digital Content Offered
Metrix Magazine provides access to various digital materials, including but not limited to:
- Magazine issues (downloadable for yearly subscribers; flipbook-only for single-issue purchasers)
- Toolkits
- Templates
- Guides
- Reports
- Applications
- Educational or analytic resources
- Members Vault content
2.2 License to Use Digital Content
All digital content provided by Metrix Magazine is licensed, not sold. Unless otherwise stated in a separate written agreement, digital content is licensed to the User for personal and internal business use only. No commercial use, resale, redistribution, publication, or external sharing of materials is permitted.
2.3 Restrictions on Single-Issue Purchasers
Single-issue purchases provide access to the purchased issue via online flipbook only. Downloading, copying, extracting, capturing screenshots, or reproducing any content from the flipbook is prohibited.
2.4 Restrictions on Yearly Subscribers
Yearly subscribers may download magazine issues and other permitted resources according to their subscription level. Yearly subscribers also receive flipbook access. All flipbook content is protected, and copying, screenshotting, screen recording, extracting, or otherwise capturing content from the flipbook format through any means is strictly prohibited. All downloaded content remains licensed for personal and internal business use only. Redistribution, uploading to public platforms, resale, or unauthorized sharing is prohibited.
2.5 Prohibited Uses
Users shall not:
- Distribute, upload, or publish any Metrix Magazine content without written permission
- Copy magazine layouts, design templates, or editorial structures
- Extract or reproduce content from flipbooks or protected digital formats
- Train any artificial intelligence model using Metrix Magazine PDFs or content
- Reverse-engineer or bypass technical protections
- Use Metrix Magazine’s name, logo, or branding in a manner that implies endorsement or affiliation without consent
Violation of prohibited uses may result in immediate termination of access and may constitute infringement under applicable intellectual property laws.
3. Payments, Subscriptions, and Billing
3.1 Payment Processor
Payments are processed securely through Stripe via WooCommerce. Metrix Magazine does not store or process full payment card numbers.
3.2 Types of Purchases
Users may purchase:
- Yearly subscriptions
- Single-issue purchases
- Other digital products or add-ons
3.3 Subscription Term
Yearly subscriptions do not automatically renew. At the end of a subscription term, Users may choose to purchase a new subscription.
3.4 Cancellations
Users may request cancellation at any time; however, cancellation does not grant any refund outside of the refund policy outlined in Section 4. Yearly subscribers who cancel after the refund window retain access for the remainder of the paid term unless access is revoked for violation of these Terms.
3.5 Promo Codes
Promo codes may be limited to one-time use, may not be combined with other offers, and may be subject to limited quantities or discretionary conditions. Promo code limitations may not be publicly disclosed unless specified.
4. Refund Policy
Refunds are governed by a separate Refund Policy, incorporated herein by reference. By using the Services or purchasing any product, you agree to the terms of the Refund Policy.
5. Intellectual Property Rights
5.1 Ownership
All content, publications, design elements, layouts, toolkits, technical resources, applications, branding, and associated materials are the exclusive intellectual property of Metrix Magazine or its licensors.
5.2 Limited License
Users receive a limited, revocable, non-transferable, non-sublicensable license to access and use purchased materials strictly in accordance with these Terms.
5.3 User-Submitted Content
If Users or Contributors submit content (such as interviews, articles, guides, applications, or written material), they grant Metrix Magazine a perpetual, worldwide, non-exclusive license to use, reproduce, modify (for editorial reasons), distribute, publish, promote, and archive such content across the magazine, website, social media, and related platforms. Metrix Magazine has the right, but not the obligation, to remove such content at its discretion due to legal, safety, or business considerations.
Unless a separate written agreement is executed (e.g., developer royalty agreements, work-for-hire arrangements), all contributor submissions remain non-exclusive and governed by this standard license.
5.4 Originality Warranty for Contributors
Contributors warrant that their submissions are original, do not infringe third-party rights, and are legally permitted to be shared. Contributors agree to indemnify Metrix Magazine against any claims arising from their submitted content.
6. Acceptable Use Policy
Users agree not to use the Services:
- For unlawful purposes
- To infringe intellectual property or privacy rights
- To scrape, mine, or extract data from the platform
- To attempt to access restricted areas, override access controls, or tamper with security systems
- To engage in any conduct that damages, disables, or interferes with the Services
Metrix Magazine may suspend or terminate access for violations of this Section.
7. Editorial Control and Content Disclaimers
7.1 Editorial Rights
Metrix Magazine retains full editorial control over all published content. While we may seek clarification or factual input from interviewees or contributors, we are not required to obtain final approval unless explicitly agreed in writing.
7.2 Accuracy Disclaimer
Content in the magazine and on the website is provided for informational purposes only. Metrix Magazine does not guarantee the accuracy, timeliness, or completeness of any content.
7.3 No Professional Advice
Content is not professional, legal, financial, or business advice. Users should consult qualified professionals before relying on any material for decisions.
8. AI Use and Prohibitions
8.1 Use of AI by Metrix Magazine
Metrix Magazine may use artificial intelligence tools for grammar review, research assistance, and creative design elements. All final content is reviewed by human editors.
8.2 Prohibition on Using Metrix Content to Train AI
Users are strictly prohibited from training, fine-tuning, or supplying Metrix Magazine content to any artificial intelligence, machine learning, or automated dataset creation system without our explicit written permission.
9. Privacy and Data Protection
Your use of the Services is also governed by our Privacy Policy and Cookie Policy, which describe how information is collected, used, retained, and shared. These policies are incorporated herein by reference.
10. DMCA and Copyright Complaints

11. Disclaimers and Limitation of Liability
11.1 Service Availability
We do not guarantee uninterrupted access to the Services. Downtime or technical issues do not entitle Users to a refund except as expressly stated in the Refund Policy.
11.2 Limitation of Liability
To the fullest extent permitted by law, Metrix Magazine shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of data, profits, revenue, or business opportunities.
11.3 Maximum Liability
In all cases, Metrix Magazine’s total liability for any claim shall not exceed the amount paid by the User for the applicable product or subscription within the preceding twelve months.
12. Indemnification
Users agree to indemnify and hold harmless Metrix Magazine from any claims, liabilities, damages, losses, or expenses arising from:
- User violations of these Terms
- User misuse of digital content
- User-submitted content
- User infringement of third-party rights
13. Governing Law and Dispute Resolution
These Terms shall be governed by and interpreted in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.
Any dispute must first be addressed by contacting us at contact@metrixmagazine.com. If informal resolution is not reached, disputes shall be resolved in the state or federal courts located in Pennsylvania, and Users consent to personal jurisdiction in those courts.
14. Modifications to Terms
Metrix Magazine may modify these Terms at any time. Updated Terms will be posted on the website with a revised “Last Updated” date. Continued use of the Services constitutes acceptance of updated Terms.
